By accessing or using the PortaPoet mobile application, PortaPoet website, or the PortaPoet service made available by Artisan Engineering L.L.C., located at 1096 Via Roble, Lafayette CA 94549 USA (collectively, the "Service"), however accessed, you agree to be bound by these Terms of Service ("Terms"). The Service is owned and operated by Artisan Engineering L.L.C. ("Artisan," "we," "us," or "our").
a) Acceptance of Terms. By accessing and using the Service, you accept and agree to be bound by these Terms and all applicable laws and regulations. If you do not accept these Terms, you must not access or use the Service. We may modify these Terms from time to time. The updated Terms will be posted on our website, and we may provide additional notice or request affirmative acceptance where required by law or where we think it is appropriate. Your continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms, unless additional acceptance is required. Any disputes arising before the effective date of modified Terms will be governed by the prior version.
b) Residency and Age. The Service is intended for users who are 13 years of age or older. By accessing or using the Service, You represent, warrant, and affirm that You are at least 13 years old. If You are at least 13 but under the age of majority in your jurisdiction, You may use the Service only with the consent of a parent or legal guardian. A parent or legal guardian who allows a minor to use the Service is responsible for the minor's use of the Service to the extent permitted by applicable law. Children under 13 may not access or use the Service, and PortaPoet does not offer supervised accounts or other under-13 access. If your use of the Service is illegal or otherwise prohibited in the jurisdiction where you are located, you are prohibited from accessing and utilizing the Service.
c) Disclaimer. The Service, including, but not limited to the website, any mobile applications, and the entirety of their contents are provided "AS IS" and Artisan hereby disclaims all express and implied warranties including, but not limited to, warranties of merchantability and fitness for a particular purpose. Artisan expressly disclaims any representation that:
a. the Service will meet User's requirements;
b. access to the Service will be uninterrupted, timely, secure, or error-free;
c. any information obtained through or from the Service will be accurate or reliable;
d. the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet expectations; or
e. any data or software errors will be corrected.
ARTISAN SHALL NOT BE HELD RESPONSIBLE FOR TECHNICAL MALFUNCTIONS OF ANY TELEPHONE SYSTEM, CABLE SYSTEM, COMPUTER EQUIPMENT, SERVER, PROVIDER, OR SOFTWARE. ARTISAN SHALL NOT BE HELD RESPONSIBLE FOR ANY INJURY OR DAMAGE TO USER'S COMPUTER RESULTING FROM USE OF THE SERVICE INCLUDING, BUT NOT LIMITED TO, WEB PAGE VIEWING, FILE DOWNLOADING, SERVER USE OR ACCESS, OR FOLLOWING SERVICE LINKS. USER ACCESSES THE SERVICE AT THEIR OWN RISK AND IS SINGULARLY RESPONSIBLE FOR ANY LOSS, DAMAGE, OR COSTS INCURRED DURING SUCH ACTIVITY. ARTISAN SHALL NOT BE RESPONSIBLE FOR ANY INCORRECT OR INACCURATE CONTENT POSTED ON THE SERVICE, REGARDLESS OF THE CAUSE OF SUCH INACCURACY. ARTISAN SHALL NOT BE RESPONSIBLE FOR ANY CONDUCT OF ANY USER OF THE SERVICE. ARTISAN SHALL NOT BE RESPONSIBLE FOR ANY ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, OPERATIONAL DELAY, COMMUNICATION LINE FAILURE, OR THEFT, DESTRUCTION, OR ALTERATION OF USER'S COMMUNICATION. NO DATA OR INFORMATION OBTAINED FROM ARTISAN OR THE SERVICE SHALL CREATE ANY WARRANTY.
d) Privacy Policy. Our privacy practices are described in our Privacy Policy located at https://www.portapoet.com/privacy.html.
e) User Content Standards and Behavior. The Service allows users to create content locally. It also allows users to save, sync, post, publish, share, post comments, or submit content to or through PortaPoet servers or online features ("User Content"), including poems, drafts that are synced or submitted to our servers, battle entries, collaboration contributions, comments, reports, usernames, and other text or information submitted through the Service. You are solely responsible for User Content that you post or submit to or through the Service.
Artisan does not pre-screen all User Content posted or submitted to the Service by other users. Artisan may review, edit, remove, restrict access to, or delete User Content where we believe it is appropriate or necessary.
The Service may include content filtering tools, reporting tools, and user blocking features. You may report content or users that you believe violate these Terms. Artisan may review reports and may remove content, restrict access to content, suspend accounts, terminate accounts, or take other action in good faith to protect the Service and its users.
As a condition of accessing and using the Service, You agree not to post or submit User Content that:
a) is unlawful, threatening, abusive, libelous, defamatory, slanderous, obscene, vulgar, pornographic, indecent, or would constitute a criminal offense, give rise to civil liability, or otherwise violate any local, state, national, or international law or regulation;
b) violates or infringes upon the rights of others including, without limitation, privacy or publicity rights, intellectual property rights including, without limitation, copyright, patent, trade secret, or trademark rights, or other rights, without first obtaining permission from the owner or rights holder;
c) promotes harassment, bullying, threats, malice, or harm of any kind against any group or individual;
d) solicits user passwords, financial information, or personal identification for unlawful purposes;
e) shares private, sensitive, or identifying information about yourself or another person where we believe removal or restriction is appropriate for privacy, safety, legal, or Service-integrity reasons;
f) contains sexual content involving minors or encourages exploitation or abuse of minors;
g) contains a virus, spyware, malware, or harmful software; or
h) constitutes junk mail, unsolicited mass mail, or spam.
The foregoing is only a partial list of the kind of User Content which is prohibited on the Service. Artisan reserves the right to investigate and take appropriate action, legal or otherwise, in its sole discretion against anyone who violates this section including, without limitation, removing the offending content from the Service and terminating the violator's Service access.
User further agrees not to:
i) use any content or information available through the Service for any unauthorized purpose;
j) interfere with or damage the Service including, without limitation, through the use of viruses, spyware, malware, harmful code, flood pings, denial of service attacks, packet or IP spoofing, forged routing, or methods that in any way reproduce or circumvent the navigational structure or presentation of the Service or its contents;
k) collect, store, or distribute any information about any other user other than in the course of the permitted use of the Service;
l) impersonate any person, company, or entity;
m) modify, sublicense, translate, sell, reverse engineer, decipher, decompile, or otherwise disassemble any portion of the Service or any software used on or for the Service; or
n) assist any third party in doing any of the foregoing
f) Ownership and Content License. You retain any ownership rights you have in User Content. By syncing, posting, publishing, sharing, submitting, or otherwise making User Content available through PortaPoet servers or online features, You grant Artisan and its service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, perform, distribute, format, modify for technical or moderation purposes, and otherwise use your User Content as needed to provide, operate, secure, and moderate the Service and to make the User Content available through the features You choose to use. This license does not apply to content that remains only in local storage on your device and is not submitted, synced, published, shared, or otherwise made available through PortaPoet servers or online features. This license continues for as long as your User Content is stored in or made available through the Service, including as part of comments, shared collaborations, poetry battles, backups, reports, moderation records, or legal and compliance records.
You also grant other users of the Service a non-exclusive license to view, interact with, and use your User Content only as permitted by the Service's features while that content is made available through the Service, such as reading published poems, viewing comments, participating in collaborations, or participating in poetry battles.
For comments, collaborations, poetry battles, and other shared or public features, User Content may include contributions from more than one user or may appear in context with another user's content. If your account is later deleted, User Content and attribution may be deleted, removed from public display, de-identified, retained in limited records, or otherwise adjusted as described in our Privacy Policy.
You further represent and warrant that Artisan's exercise of any of its rights under the License will neither violate nor infringe upon the rights of others including, without limitation, privacy, publicity or intellectual property rights.
g) License to User. Subject to the terms and conditions of this Agreement, as well as our Privacy Policy, Artisan grants you a non-transferable, non-exclusive license to use the Service, including accessing, saving and viewing User Content, for your personal, noncommercial use to express yourself as expressly permitted by the Service. Artisan reserves the right to terminate this license at any time for any reason or no reason. Except for the rights and licenses expressly granted, Artisan reserves all other rights and no other rights are granted by implication or otherwise.
If You are accessing the Service through a mobile application downloaded through the Apple App Store or any successor store, Your license to the mobile application is limited to a non-transferable license to use the application on any iPhone or iPad owned or controlled by You.
h) Content Storage - PLEASE READ. Artisan reserves the right to delete User Content without notice at Artisan's sole discretion. POSTING CONTENT TO THE SERVER IS NOT A SUBSTITUTE FOR SAVING YOUR CONTENT ON YOUR DEVICE, COMPUTER, OR PERSONAL STORAGE SITE. CONTENT OF CRITICAL IMPORTANCE SHOULD NOT BE SAVED IN JUST THE PORTAPOET MOBILE APP OR SERVICE.
i) Push Notifications. The Service may attempt to send push notifications to your mobile device about activity related to your account, content, or interactions. Push notification delivery is not guaranteed and may fail, be delayed, or be blocked by your device settings, operating system, network connection, platform push services, or other factors outside our control. You can manage push notifications through your device settings. Disabling push notifications will not affect your ability to use the Service, but you may miss important updates about your content and interactions.
j) Account Deletion, Data Export, Purchases, and Subscriptions. While your account is active and the Service is available, you may initiate account deletion and export a copy of reasonably available account and content data from within the PortaPoet mobile app. Exports may exclude internal records, security logs, backup data, moderation records, legal or compliance records, and information that would reveal another user's personal information or content, as described in our Privacy Policy. If you cannot access the app, you may request account deletion or data export by emailing support@portapoet.com. We may need to verify your identity, account ownership, or authority before processing requests made outside the app. When your account deletion is processed, your account information will be deleted or de-identified from active systems, and solo poems and comments associated only with your account will generally be deleted or de-identified from active systems, subject to the limits and exceptions described in our Privacy Policy. Comments, shared or collaborative content, poetry battles, reports, moderation records, server logs, backup copies, and legal or compliance records may be deleted, removed from public display, de-identified, retained in limited records, or otherwise handled as described in our Privacy Policy.
The Service may include paid downloads, in-app purchases, subscriptions, or other paid features. Purchases made through an app store or payment provider are handled by that app store or payment provider and may be subject to their terms, refund rules, cancellation tools, and billing policies. Unless required by applicable law, app-store rules, payment-provider policies, or a separate written agreement, Artisan is not responsible for providing refunds, credits, or compensation for purchases handled by a third party.
k) Interactions with Other Service Users. You are solely responsible for interactions with other Service users. Artisan shall not be responsible for any damage or harm resulting from User's interactions with other users of the Service.
You understand that Artisan does not screen users. Artisan makes no representations or warranties as to user conduct. Artisan may take action in good faith to restrict access to or the availability of any User Content or account that Artisan considers prohibited, harmful, or inconsistent with these Terms.
You may be able to block other users through the Service. Where blocking is supported, the Service may use your blocking choice to limit or filter that user's content or interactions in your experience. Blocking a user does not necessarily remove that user's content from the Service or prevent other users from viewing it.
Content, reports, and interactions made available to us may be reviewed by Artisan for compliance with this Agreement, but will be treated as private to the extent required by applicable law. User is solely responsible for all interactions with other users. User is encouraged not to provide personal financial information of any type to other users.
l) Links. The Service contains links to other internet sites and resources, and You acknowledge and agree that: 1) Artisan shall not be responsible for the availability of such external sites or resources; and 2) Artisan does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You agree that Artisan shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of, or reliance upon, any such content, goods or services available on or through any such site or resource.
m) Proprietary Rights. Except for User Content, the Service and its software, design, branding, text, graphics, and other content are owned by Artisan or its licensors and are protected by intellectual property laws. Unless expressly authorized in this Agreement, User agrees not to sell, license, modify, distribute, reproduce, publicly display or perform, publish, or create derivative works from Service content outside the functionality provided by the Service.
n) Feedback. By submitting any Feedback to Artisan, including, but not limited to any suggestions, ideas or feedback about the Service or the Website, including without limitation about how to improve the Service or our products, User agrees that their disclosure is gratuitous, unsolicited and without restriction, and that Artisan is free to use, disclose and otherwise exploit the Feedback without any restriction and without additional compensation to User.
o) User Registration. Users may be asked to register with the Service ("Registered Users"). Registered Users agree to provide accurate and complete information as prompted by any Service registration form and to contact us if their account information needs to be corrected. Artisan reserves the right to suspend or terminate a Registered User's access to and use of the Service, or any portion thereof, on the basis of inaccurate or incomplete account information.
Registered Users may be required to select a username and password when completing the registration process. Registered Users are responsible for maintaining the confidentiality of their own usernames and passwords and for activities occurring under their account. Registered Users should promptly notify Artisan of any unauthorized use of their usernames or passwords or any other suspected breach of security. Artisan shall not be liable for any loss or damage arising from a Registered User's failure to maintain the confidentiality of their username and password.
p) Limits on Liability. ARTISAN, ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUCCESSORS, OR ASSIGNS ("ARTISAN PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO: 1) THE SERVICE'S AVAILABILITY; 2) THE ACTS, OMISSIONS, OR CONDUCT OF ANY USER OR THIRD PARTY, WHETHER ONLINE OR OFFLINE; 3) ANY SERVICE OR USER CONTENT; 4) ANY GOODS OR SERVICES ACQUIRED AS A RESULT OF ANY INFORMATION OBTAINED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICE; 5) ANY USE OF GOODS OR SERVICES MADE AVAILABLE ON ANY INTERNET RESOURCE OR WEBPAGE LINKED TO THE SERVICE; OR 6) THE DISCLOSURE, ALTERATION, OR USE OF ANY USER CONTENT OR USER INFORMATION.
THE ARTISAN PARTIES AGGREGATE LIABILITY TO USER OR ANY THIRD PARTY, IN ANY MATTER ARISING FROM OR RELATED TO THE SERVICE OR THE AGREEMENT, SHALL NOT EXCEED THE SUM OF ONE HUNDRED DOLLARS ($100).
USER'S ACCESS OR USE OF ANY THIRD PARTY SERVICE OR INTERNET RESOURCE LINKED TO OR FROM THE SERVICE, OR USER'S USE OF GOODS OR SERVICES FROM THIRD PARTY SERVICES OR INTERNET RESOURCES LINKED TO OR FROM THE SERVICE, IS MADE AT USER'S OWN RISK. USER HEREBY RELEASES THE ARTISAN PARTIES FROM ANY DAMAGES USER SUFFERS FROM USER'S ACCESS TO THIRD PARTY SERVICE OR INTERNET RESOURCES, AND USER AGREES NOT TO MAKE ANY CLAIMS AGAINST THE ARTISAN PARTIES ARISING FROM ANY PURCHASE OR ACQUISITION OF GOODS AND SERVICES MADE AVAILABLE THROUGH THE SERVICE OR THROUGH THIRD PARTY SERVICES OR INTERNET RESOURCES.
THE ARTISAN PARTIES SHALL NOT BE LIABLE FOR ANY DAMAGES RESULTING FROM THE FAILURE, BY ANY PARTY, TO PROTECT USER PASSWORDS OR ACCOUNT INFORMATION. THE ARTISAN PARTIES SHALL NOT BE LIABLE FOR ANY FAILURE OR PERFORMANCE DELAY UNDER THE AGREEMENT DUE TO CIRCUMSTANCES BEYOND THE ARTISAN PARTIES CONTROL INCLUDING, BUT NOT LIMITED TO, NATURAL CATASTROPHES, GOVERNMENTAL ACTS, LAWS OR REGULATIONS, TERRORISM, LABOR STRIKES OR DIFFICULTIES, COMMUNICATION SYSTEM INTERRUPTIONS, HARDWARE OR SOFTWARE FAILURES, TRANSPORTATION INTERRUPTIONS, OR ANY INABILITY TO ACQUIRE MATERIALS OR SUPPLIES.
THE LAWS OF CERTAIN JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
q) Indemnification. To the extent permitted by applicable law, User agrees to indemnify and hold harmless the Artisan Parties from and against any loss, liability, or expense, including reasonable attorneys' fees and expenses and court costs, arising out of or related to any third party claim against any Artisan Party based on or related to User's User Content, User's conduct on or through the Service, User's violation of these Terms or applicable law, or allegations that User Content or User conduct infringes, misappropriates, defames, harasses, violates privacy or publicity rights, contains unlawful or harmful material, constitutes spam or abuse, or otherwise violates a third party's rights.
r) Termination. Artisan may suspend or terminate Your access to the Service for any reason including, without limitation, Your breach of this Agreement. You agree that any termination of your access to the Service may be effected without prior notice, and You agree that Artisan may deactivate or delete Your account and related information and files, subject to our Privacy Policy and any legal obligations. You agree that Artisan shall not be liable to You for any costs or damages of any kind for or resulting from any termination of Your Service access. Artisan reserves the right to block or restrict access to the Service where appropriate.
s) Discontinuance of Service. Artisan may modify, suspend, or discontinue any portion of the Service, including paid or unpaid features, temporarily or permanently. Where practical, Artisan may provide advance notice and an opportunity to export reasonably available account and content data before discontinuing the Service. If the Service includes paid features, in-app purchases, or subscriptions, Artisan may stop offering new purchases, remove purchases from sale, stop renewals where supported, or otherwise wind down paid offerings. Wind-down of active paid subscriptions will be handled in accordance with applicable platform requirements. Any access, cancellation, refund, credit, extension, or other remedy for paid offerings will be handled as required by applicable law, app-store rules, payment-provider policies, or the terms presented at the time of purchase.
t) Take-Down Requests, DMCA. Artisan prohibits users from uploading, posting, or otherwise distributing through the Service any content that may violate another party's privacy, publicity, intellectual property, or other rights. You may use in-app reporting tools or contact support@portapoet.com to report content that you believe violates these Terms.
Copyright-related notices may be sent to the contact listed below. If you believe in good faith that material appearing on the Service infringes your copyright, please send a written notice that includes:
a) A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest;
b) Identification of the copyrighted work claimed to have been infringed, or a representative list if multiple works are involved;
c) Identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate the material;
d) Information reasonably sufficient to permit us to contact you, such as your name, mailing address, telephone number, and email address;
e) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
f) A statement that the information in the notice is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

If you believe that material you posted was removed or disabled by mistake or misidentification, you may send a counter-notice to the copyright contact listed above. A counter-notice should include your physical or electronic signature, identification of the removed material and where it appeared before removal, a statement under penalty of perjury that you have a good faith belief the material was removed or disabled as a result of mistake or misidentification, and your name, address, telephone number, email address, consent to the jurisdiction of the federal district court for your address (or, if outside the United States, the federal district court for the Northern District of California), and agreement to accept service of process from the person who provided the original notice or their agent.
Anyone who knowingly makes a material misrepresentation that material is infringing or was removed by mistake or misidentification may be liable for damages under the DMCA. Artisan may remove or disable access to allegedly infringing material and may terminate accounts of repeat infringers in appropriate circumstances.
u) Export Control. You represent and warrant that (i) You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) You are not listed on any U.S. Government list of prohibited or restricted parties.
v) Third Party Beneficiary - Applicable to Mobile Application Downloaded through Apple App Store. In the event that you are accessing our Service through a mobile application downloaded through Apple's App Store or any successor store, You acknowledge and agree that Apple Inc., and Apple's subsidiaries, are third party beneficiaries of this Agreement, and that, upon Your acceptance of the terms herein, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against You as a third-party beneficiary.
w) Questions Regarding Mobile Applications. Please direct all questions regarding our mobile applications and Services, including but not limited to, (i) product liability claims; (ii) any claim that our applications fail to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation, to Artisan administrators only. You acknowledge that Apple, Inc. is not responsible for responding to any such queries.
x) Miscellaneous.
a) Choice of Law; Jurisdiction. To the extent permitted by applicable law, this Agreement will be governed by and construed under the laws of the United States of America and, to the extent not inconsistent therewith, the laws of the State of California without regard to conflicts-of-laws principles that would require the application of any other law. To the extent permitted by applicable law, any proceeding arising out of or relating to this Agreement must be brought in the courts of Contra Costa County, California, and each of the parties submits to the jurisdiction and venue of those courts for such proceedings.
b) Severability. If any provision - or portion of a provision - of this Agreement is held invalid, unenforceable, or void, the remainder of the Agreement shall remain unaffected and shall continue in full force and effect.
c) Separability. This Agreement does not and shall not be construed to create a partnership or joint venture between the parties hereto.
d) Merger. This Agreement is the entire agreement between the parties hereto, and replaces any and all prior negotiations, representations, or agreements between the parties, whether oral, electronic, or written, pertaining to the Service. The parties acknowledge that they have not relied on any promise, representation, or warranty, express or implied, not contained in this Agreement. No waiver or any breach of this Agreement shall be construed as a continuing waiver or consent to any subsequent breach hereof.
